Terms and Conditions for Reseller and Referral Program

Welcome to our Reseller and Referral Program. These terms and conditions (“Terms”) govern your participation as a Reseller or a Referrer for our software product (referred to as "Product"), provided by Nexchar (“Company”). By registering and participating in the program, you agree to be bound by these Terms.

1. Eligibility

1.1. To participate as a Reseller, you must:

  • Be at least 18 years old.

  • Provide accurate and complete registration information.

  • Agree to comply with all applicable laws and regulations.

1.2. To participate as a Referrer, you must:

  • Have an active account on our platform.

  • Share your unique referral code or referral link only with potential customers who may be genuinely interested in the Product.

2.Referral Code and Links

2.1. A referral code is a unique alphanumeric string provided to each registered participant. It allows the Company to track referrals and attribute them to the respective Referrer or Reseller.

2.2. The referral link is structured as follows: https://nexchar.com/signup?referralCode=YOUR_CODE . Sharing this link helps track referrals and provides rewards based on successful registrations or purchases.

2.3. Cookies are used to track the referral code when the link is clicked. The referral code is stored for up to 7 days unless explicitly overwritten by another code.

3.Reseller Responsibilities

3.1. Resellers are authorized to:

  • Promote and sell licenses for the Product.

  • Generate license keys for their customers using the reseller dashboard.

  • Set competitive pricing while adhering to the Company's guidelines.

3.2. Resellers must not:

  • Misrepresent the Product’s features, pricing, or capabilities.

  • Engage in fraudulent, unethical, or misleading marketing practices.

  • Resell license keys to unverified or fraudulent entities.

3.3. Resellers are responsible for collecting payments from their customers unless otherwise agreed upon in writing.

3.4. If a Reseller fails to fulfill their obligations, including the proper delivery of license keys, the Company reserves the right to suspend or terminate their reseller account.

4. Rewards and Commissions

4.1. Referral Rewards:

  • Referrers will earn rewards when new customers register using their referral code and complete a qualifying purchase.

  • Rewards will be credited to the Referrer's account within 30 days of a successful purchase.

4.2. Reseller Commissions:

  • Resellers earn commissions by selling licenses and retaining a pre-agreed percentage.

5. License Management

5.1. Resellers can generate and manage license keys through the reseller portal.

5.2. Customers who purchase licenses through a Reseller must register the license key during account setup. The registration process validates the license and links it to the respective customer account.

5.3. License keys are non-transferable and can only be used by the original customer.

6. Refund Policy

6.1. The Company does not offer refunds for licenses purchased through the Reseller and Referral Program.

6.2. Resellers are solely responsible for their refund policies, if any, and must ensure that customers are informed of such policies before making a purchase.

7. Termination of Participation

7.1. The Company reserves the right to terminate any participant’s involvement in the program if:

  • These Terms are violated.

  • Fraudulent activity is detected.

  • The participant fails to comply with applicable laws.

7.2. Participants can voluntarily terminate their participation by notifying the Company in writing. All pending commissions or rewards will be forfeited upon termination.

8. Limitation of Liability

The Company is not liable for any losses, damages, or disputes arising from:

  • Unauthorized or improper use of referral codes or license keys.

  • Reseller’s collection or management of payments.

  • Third-party disruptions, including issues with internet connectivity or software services.

9. Privacy and Data Protection

9.1. The Company may collect and store personal data required for tracking referrals and processing rewards. This data will be handled in compliance with our Privacy Policy .

9.2. Participants are responsible for ensuring that they obtain necessary consents from their customers for data sharing when applicable.

10. Amendments to Terms

The Company reserves the right to amend these Terms at any time. Participants will be notified of any significant changes via email or platform notifications. Continued participation in the program constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Bangladesh. Any disputes arising from these Terms will be resolved under the jurisdiction of the courts located in Chapai Nawabganj.
